TERMS OF SERVICE
i4Dezin, Inc. is an independent contractor located in Dawsonville, Georgia. By engaging i4Dezin to perform any work client agrees to these terms of service. i4Dezin reserves the right to change these terms at any time. Our clients will be notified of any changes to terms on this page. These Terms of Service was last updated and effective as of 8-6-16. By engaging i4Dezin to perform a service or deliver a product client agrees to these terms. These terms of service are posted predominantly on the i4Dezin.com web site and it is client responsibility to read and understand. If you do not understand it is client responsibility to ask for an explanation prior to engaging i4Dezin into any work.
All work to be done by i4Dezin will be detailed exactly in your Proposal. Any additional work not included in your proposal must be requested and authorized in writing. All pricing and turnaround times are specified in your proposal. All contracts may be revised upon request if additional services are not addressed. It is up to client to bring this to our attention beforehand and all changes must be reflected in a revised contract to be valid.
Assignment of Project: i4Dezin reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion. During the term of this Agreement or for twenty four months thereafter, Client directly or indirectly retains the services (whether as an employee, independent contractor or otherwise) of any employee of i4Dezin, Inc. who has provided services to Client on behalf of i4Dezin, Inc.
Copyrights and Trademarks: Client represents to i4Dezin and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to i4Dezin for inclusion in Web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements. Client agrees hold harmless, protect and defend i4Dezin and its subcontractors from any claim or suit arising from the use of such elements furnished by the client. i4Dezin has the right to place a small text link at the bottom of the site discreetly stating: custom design by www.i4dezin.com.
Development & Delivery: i4Dezin understands the importance of completing each project in a timely manner. i4Dezin agrees to complete the web design project within time specified in the contract from final design acceptance. It is imperative the client has their information prepared and ready to commence with the project before contract signing.
Redesigns: Changes to Submitted Text, existing Web Site Articles & Images: All text will be imported from current articles. Unless otherwise stated this includes all inline styles within the current articles. If you are unsure of this term, please ask and we will be glad to explain. A revised contract will be submitted for inclusion of changes to inline style if desired. Time required making additional changes to the imported or submitted as final articles or site structure will be additional.
New Designs: Changes to Submitted Text & Images: All text and navigation sitemap will be provided by client. Each article page will be submitted in a Word document titled the menu item name. Time required for additional changes to the submitted articles or site structure will be additional. Please take time and check the spelling and only send final text and images. All information sent to i4Dezin must be final.
Additional Work & Consulting: SEO consulting, additional pages, images, or changes made after completion of the web pages will be negotiated under separate contract.
Search Placement: By signing these Terms of Service it is understood, i4Dezin has no control over search engine business entities. Therefore, there is never a guarantee of page placement in search results. i4Dezin specializes in Organic, On-page SEO. There are many contributing factors to SEO, such as Social Media, AdWords and Linking Campaigns; Organic SEO is just a part of the overall process. There can be no guarantee as to search result placement due to constantly changing algorithms and competition budgets in highly competitive markets.
Optional Maintenance Agreement: A maintenance agreement is not automatically included in any proposal and all ongoing maintenance will be the responsibility of the client. An optional hosting and maintenance agreement can be drawn up only at the time of site delivery.
Unauthorized Access: i4Dezin is not responsible if client or an agent other than i4Dezin attempts updating the client's pages.
Completion Date: i4Dezin and the client must work together to complete the Website in a timely manner within timeframe listed within your Proposal. We agree to work expeditiously to complete the Website no later than the time specified in your contract. By signing your Proposal and receipt of deposit you are insuring your slot in the i4Dezin work schedule. If i4Dezin has not received all information within the time frame specified in the contract, deposit will be forfeited and agreement will become null and void. In the event client does not supply information within the scheduling window and contact becomes void a new contract will be drawn up to complete the project.
Non-Communication: It is imperative that i4Dezin and client maintain appropriate communication during the design and development process. Non communication definition: if i4Dezin does not receive return telephone calls or emails with information requested to continue with the project for a duration of ten (10) business days after i4Dezin has requested information all work will stop and project taken off of the schedule. Client will be billed 10% of entire project to be paid before resumption of work for the i4Dezin design schedule inconvenience. Client will not receive the site until all final billing is paid in full. If client does not have their information ready, it is suggested to wait.
Refund Policy: As i4Dezin is offering non-tangible goods, we do not issue refunds. In accepting any proposal from i4Dezin the client acknowledges and understands that client is engaging i4Dezin as an independent contractor.
Payments for Service: Web Sites - An initial deposit of 50% of the total cost, plus will be required to start, with 25% due upon submission of a link to test site. Upon completion of the project, the remaining balance of 25% will be due along with any authorized fees for additional work. Once payment has cleared, the web site will be released to client domain. Upon sending final payment you are agreeing at site release to your domain, you have thoroughly tested and is error free and no longer responsibility if i4Dezin, Inc. It is client responsibility to thoroughly test your web site and to make us aware of any issues before it is released to your domain. Invoices are due upon receipt.
Payments for Work on Live Sites: All work performed on any live site requires payment in advance, unless you have an active maintenance agreement with i4Dezin.
Security: By engaging i4Dezin to perform any service, the client understands the inherent risks of an online presence and conducting business on the internet. All i4Dezin web sites are built with the latest Long Term Release version of Joomla at the time of contract signing. It is the client sole responsibility and expense to stay informed from the Joomla.org community to keep the version of their Joomla web site up to date. i4Dezin does not make any guarantee or take responsibility for hacking or malicious behavior from third parties. i4Dezin will take precautions it deems reasonable in its sole discretion to secure the clients site from an attack at the time of web site delivery. i4Dezin makes no warranty there will be no interruption of service or outage, or the client’s web site will be secure against a malicious attack of any form.
Custom Coding: If client engages i4Dezin to do any custom work; Templates, Components or Plugins this custom code is the property of i4Dezin and is only licensed for use on domain name in the proposal only. Client is prohibited from use on any other domain or any part of the custom code; Template, Style Sheets, Plugins or Components or they may face legal action for damages and copyright infringement. Any use of our code must be authorized in writing by i4Dezin, Inc.
Licensing: Upon final payment all custom components, code, images, javascript elements and template design will be released to client domain and are licensed for the domain name in the contract only. Unless specifically authorized by i4Dezin, Inc. holds exclusive rights to all elements of the custom template, CSS files, custom coding, custom plugins and custom components are may not be redistributed or repackaged for use other than on domain name specified in this contract. You cannot redistribute these files or use on a domain name not outlined within your contract. Any attempt to sell, share or transfer any of the customized files, code and template image files to another party other than domain, in part or in total may result in legal action.
Joomla!: i4Dezin, Inc is not Open Source Matters, Inc. or in any way affiliated with the Joomla! project. i4Dezin in no way represents Open Source Matters, Inc. or the Joomla! project. We are Joomla specialists designing and building on the Joomla, open source platform.
Liability: Services purchased from i4Dezin are provided "as is" without warranty of any kind that the web design project will be uninterrupted or error free. In no event shall i4Dezin be liable to the client for any direct, indirect, special, punitive, incidental, or consequential damages arising out of the use of the website, services, and/or goods provided to the client. This includes, without limitation, lost profits, business interruption, loss of data or other losses directly resulting from the use of the website, services, and/or goods provided to the client. The entire risk as to the quality and performance of the web site is with the client. i4Dezin does not advise a client to maintain their own sites. By signing the Proposal and choosing to reject a maintenance agreement, the client is stating they understand the inherent risks involved of not having a Joomla web site professionally maintained. This rejection of a maintenance agreement is done at client’s sole responsibility. By signing your Proposal and Terms of Service it is understood if the client rejects maintenance agreement at time of web site delivery, the client assumes full responsibility and knowingly chooses to ignore the professional advice of i4Dezin.
Electronic Commerce Laws: Client agrees they are solely responsible for complying with any laws, taxes and tariffs, and will hold harmless, protect, and defend i4Dezin and its subcontractors from any claim, suit, penalty, tax or tariff arising from the client's exercise of internet electronic commerce.
Entire Agreement: All proposed agreements contain all work to be performed by i4Dezin in its entirety. No party can rely on any earlier written or verbal conversations of any work not contained within the proposed scope of work, before the agreement was executed. By signing and returning your Proposal along with the deposit client is securing it’s time slot on the i4Dezin web design schedule. It is the client responsibility to bring any omission of work not within any proposal or any questions to the attention of i4Dezin a revised contract may be drawn up upon request.
