Terms of Service

I4Dezin, Inc, hereon referred to i4 is an independent contractor located in Dawsonville, Georgia. By signing this contract I am engaging i4 to perform work specified in the proposal, and agree to these terms of service. Any additional work not included in a proposal must be authorized in writing. All prices specified in a proposal will be honored for 30 days from date offered. Contracts that have been written, but not signed by the client will only be accepted within 30 days of the delivery date. A new contract may be drawn up upon request.

Assignment of Project    i4 reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

Copyrights and Trademarks     The client represents to i4 and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to i4 for inclusion in Web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend i4 and its subcontractors from any claim or suit arising from the use of such elements furnished by the client. I4 and its subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios. I4 has the right to place a small text link with small logo at the bottom of the site discreetly stating; custom web design by www.i4dezin.com.  

Development & Delivery    i4 understands the importance of completing each project in a timely manner. We agree to complete the web design project within 30 days, or sooner from the date of contract signing, unless otherwise stated in the proposal. If the client does not supply i4 with complete text, digital images, graphic content and other requested materials for the contracted client within 14 days of contract signing, the contract becomes null and void and all deposits paid by the client are forfeited. The client may request a Project Extension in writing to i4 for an additional fee of 20% of the project total cost for every 30 days of extension. All extension fees are due upon agreement of the extension between i4 and the client. It is the client responsibility to supply i4Dezin with Digital images; jpgs, pngs, ai, psd, gif for the web site project. In the event i4Dezin is supplied with images other than digital, the client will pay additional hourly rate of $85.00 for scanning and preparing the client images for the web. The Client will supply i4Dezin, the complete text for the web site in a Word Document, any text supplied to i4Dezin from the client in the form of PDF or format other than Word, will be charged at an hourly rate of $85.00 to make the format editable.

Hosting and Hourly Rate    
Hosting – If included, The 12 month hosting period commences upon the date the client signs this contract. Please note, this does not include web site maintenance. A web site maintenance package, can be tailored for your needs, but not included with hosting.
Hourly Rate – Any work not included within this contract will be billed at i4Dezin’s currently hourly rate of $85.00. This rate shall also apply to work authorized for additional services not specified in original contract. Additional pages, images, or changes made after completion of the web pages will be billed at the hourly rate, and not included in this contract. This rate will also apply for telephone Consulting Services, i4Dezin charges an hourly charge for marketing and SEO placement consulting; the client will be billed at the hourly rate with a 30 minute minimum.

Optional Maintenance Agreement
This agreement outlines the term web site maintenance; If an optional Maintenance Agreement is in place the agreement will contain a pre agreed on block of time per month, Maintenance consists of tasks such as updating links and making minor changes to a sentence or paragraph. If the client or an agent other than i4 attempts updating the client's pages, time to repair Web pages will be assessed at the hourly rate, and is not included as part of the updating time. Maintenance does include the latest security patches, if the version of the client site’s web site is current, and supported by Joomla. Time to install patch, will be deducted from monthly time block. It will be client expense and responsibility to keep the Joomla Version up to date and not included in any maintenance agreement.
Maintenance does not include Joomla Version upgrades. The 12 month maintenance period commences upon the date the client signs the Maintenance Agreement contract. Changes requested by the client beyond those limits will be billed at the hourly rate of $85.00. This rate shall also apply to additional work authorized beyond the maximums specified above for any additional services not specified in original contract.

Changes to Submitted Text & Images     Please check for spelling, and send your final text and images. Time required making additional changes to the client submitted images or text after the Web pages have been constructed will be additional, billed at the hourly rate.

Completion Date     i4 and the client must work together to complete the Website in a timely manner. We agree to work expeditiously to complete the Website no later than time specified in your contract, after contract acceptance. To avoid additional fees the client must supply i4 the complete text (see above) and image content for the Website within 14 days, the responsibility to provide this information lies with the client.

Refund Policy    Since i4 is offering non-tangible goods we do not issue refunds, which you are responsible for understanding upon engaging i4 as an independent contractor

Non-Communication    If we are unable to communicate with a client on an ongoing project for duration of thirty days (21) by phone or email during the design and development process, the project will be canceled without prior notice and none of the deposit will be returned.

Payments for Service    Web Sites; An initial deposit of 50% of the total cost will be required to start any project, upon completion of the project the remaining 50% will be due, the web site will be released to the client domain upon payment in full. Payments must be made promptly upon completion. i4 reserves the right to remove web pages from viewing on the internet until final payment is made.

Security     By engaging i4 to perform any service, the client understands the inherent risks of an online presence and conducting business on the internet. Every web site i4Dezin builds, is built with the latest version of Joomla at the time of design. It is the clients sole responsibility and expense to stay informed from the Joomla.org community to keep the version of their Joomla web site up to date. I4 does not make any guarantee or take responsibility for hacking or malicious behavior from third parties. I4 will take precautions it deems reasonable in its sole discretion to secure the clients site from an attack. I4 makes no warranty there will be no interruption of service or outage, or the client’s web site will be secure against a malicious attack of any form.

Liability     Services purchased from i4 are provided "as is" without warranty of any kind that the web design project will be uninterrupted or error free. In no event shall i4 be liable to the client for any direct, indirect, special, punitive, incidental, or consequential damages arising out of the use of the website, services, and/ore goods provided to the client. This includes, without limitation, lost profits, business interruption, loss of data or other losses directly resulting from the use of the website, services, and/or goods provided to the client. The entire risk as to the quality and performance of the web design is with the client.

Electronic Commerce Laws        The client agrees they are solely responsible for complying with any laws, taxes and tariffs, and will hold harmless, protect, and defend i4 and its subcontractors from any claim, suit, penalty, tax or tariff arising from the client's exercise of internet electronic commerce.

Entire Agreement        The above agreement contains all work to be performed by i4Dezin in its entirety. No party can rely on any earlier written or verbal conversations of any work not contained within this proposal, before this agreement was executed. It is the client responsibility to bring any omission of desired work not within any proposal to the attention of i4Dezin; a revised contract may be drawn up upon request.
